General
The following terms and conditions apply to the use of West Coast Photos ("Assets") provided by Development West Coast ("DWC") to media, operators, and organisations for the purpose of promoting the West Coast as a destination to visit, live, work, study and do business. By using the Assets, you agree to be bound by these terms and conditions.
Licence
DWC grants you a royalty-free, non-exclusive, non-transferable, worldwide license to use the Assets in unpaid digital and print media. You are not allowed to sell the Assets or make money from them, or use the Assets for paid advertising unless you are authorized to do so in writing by DWC.
Credit
All images used must be credited to the photographer where possible.
Ownership
The images remain the property of Development West Coast. You may not claim any ownership or copyright in the Assets, or create derivative works from them without prior permission.
Manipulation and Context
The images may not be manipulated or changed in any way without prior permission. The photographs must be kept in context and in relation to the activity. The images may not be used in a negative context.
Commercial and Political Gain
The images may not be sold or used for direct commercial or political gain (marketing and promotional use is OK).
Indemnification
You agree to indemnify, defend and hold harmless Development West Coast, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees and expenses, arising out of or related to your use of the Assets.
Limitation of Liability
In no event shall Development West Coast be liable for any damages arising out of or related to the use or inability to use the Assets, including but not limited to direct, indirect, incidental, special, or consequential damages, even if DWC has been advised of the possibility of such damages.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New Zealand, without giving effect to any principles of conflicts of law.
Amendments
DWC reserves the right to amend this Agreement at any time without notice. Licensee's continued use of the Assets after any such changes constitutes acceptance of the new terms and conditions.
